Terms of Use

1. Purpose

BLACK JET BROKERS is a matchmaking platform dedicated to business aviation in Africa.

It connects clients looking for a private flight, charter brokers (the BLACK JET BROKERS) and aircraft operators.

These Terms of Use (the "Terms") set the rules for accessing and using the platform, whichever space is used: the website, the client space, the CRM, the marketplace and the Community.

Any use of the platform means acceptance of the Terms.

2. Definitions

• Platform: the blackjetbrokers.com website and all its spaces, tools and services.
• BLACK JET BROKERS: the publisher of the platform; by extension, the network of member brokers.
• User: any person who accesses the platform, with or without an account.
• Visitor: a user without an account.
• Client: a person or company requesting a flight, for themselves or for other passengers, a cargo shipment or a medical flight.
• Broker: a charter broker member of the network, whose account has been verified; a broker may act within an agency with several users.
• Operator: an aircraft operator holding the required authorisations, who offers aircraft on the marketplace; a broker may also sell their own fleet.
• Community: the exchange space reserved for member BLACK JET BROKERS.
• Content: any information, data, document, message, image or post placed on the platform.

3. What the platform does, and what it does not do

The platform provides tools: receiving and sending requests, preparing quotes, preparing and signing documents, following a flight, exchanging messages.

BLACK JET BROKERS is not an air carrier, an operator or a charter broker.

BLACK JET BROKERS is not a party to the contracts concluded between users.

The charter contract is concluded between the client and the broker the client has chosen.

Flight, performance and price terms between the broker and the operator are a matter for them alone.

BLACK JET BROKERS sells no tickets and sets no prices.

BLACK JET BROKERS does not receive, hold or transfer any funds on behalf of users.

The platform takes no commission on flights.

The platform does not supervise payments: they are made directly between the parties, as they have agreed.

A proof of payment uploaded to the platform only serves to inform the other party and to complete the flight file.

4. Access and accounts

Access to the website is free.

The client, broker and operator spaces and the Community require an account.

Users undertake to provide accurate, complete and up-to-date information, and to correct it as soon as it changes.

An account is personal.

Users keep their sign-in means to themselves and are responsible for any action taken from their account.

They inform BLACK JET BROKERS without delay if they suspect that a third party is using their account.

Broker and operator accounts are open to professionals.

They are opened after BLACK JET BROKERS has verified the requested information and documents.

This verification covers the items presented on the date of the check; it is not a guarantee of the quality of the verified user's services.

The platform is reserved for adults with legal capacity to enter into contracts.

5. Agencies and sub-accounts

A broker agency may create accounts for its staff and assign them rights.

The agency's management decides on these rights.

The agency is responsible for its staff's use of the platform.

When a staff member leaves the agency, the agency deactivates their account and reassigns their files.

6. Commitments of every user

Every user undertakes to:

• comply with applicable laws and regulations, in particular on civil aviation, customs, carriage of dangerous goods, health, anti-money laundering and international sanctions;
• use the platform only for genuine requests and offers;
• not post any false, misleading, unlawful, abusive or defamatory content, or content that infringes the rights of others;
• not collect other users' data for any purpose other than the relationship for which it was entrusted to them;
• not attempt to access an account, a space or data that is not theirs;
• not disrupt the operation of the platform, nor extract its data by automated means;
• correct any entry the platform flags as inconsistent before going further.

7. The client

The client describes the request: legs, dates, passengers, cargo or medical mission.

The client freely chooses the broker or brokers to whom the request is sent, or sends it to the whole network.

The client is responsible for the accuracy of the information provided, in particular the identity and travel documents of passengers.

For a cargo flight, the client is responsible for the description, weight, volume and nature of the goods, including the declaration of dangerous goods.

For a medical flight, the client provides the information needed for the patient's safety with the consent of the patient or of the person entitled to give it.

By accepting a quote, the client enters into a contractual relationship with the broker who issued it, on the terms of that quote and of the charter contract.

Payment is made directly to the broker, as set out in the contract.

The client does not learn the identity of the operator through the platform; the broker remains the client's sole contact.

A visitor may send a request without an account.

The visitor's contact details are then kept by BLACK JET BROKERS, who alone sees them, and the request is passed on to brokers without these details.

8. The BLACK JET BROKER

The broker carries out the charter broking activity independently, under their own responsibility.

The broker is solely responsible for their quotes, prices, margins, contracts, invoices and the performance of their commitments to their clients.

The broker freely chooses the operators consulted and the general terms that apply to their contracts.

Before each flight, the broker checks that the selected operator holds the authorisations, certificates and insurance required for the flight.

Documents generated by the platform (quotes, contracts, invoices, manifests, certificates) are issued in the broker's name; the broker reviews their content before sending them.

Model clauses offered by the platform are models: the broker adapts them to their situation and to the law that applies to them.

A broker selling their own fleet has, for those aircraft, the obligations of an operator.

9. The operator

The operator warrants that it holds and keeps in force the air operator certificate, operating authorisations, insurance and approvals required for each flight it offers.

The operator is responsible for the airworthiness of its aircraft, the qualification of its crews and the performance of the flight.

The information it publishes on its aircraft, availability, empty legs and quotes is accurate and up to date.

A quote binds the operator during its validity period, subject to the reservations it states.

The operator does not learn the identity of the client through the platform; it deals with the broker.

It receives the passenger or patient data needed to perform the flight and uses it only for that purpose.

For a cargo flight or a medical flight, the operator uploads its contract and invoice to the platform; the broker sends it the proof of payment.

10. Documents and electronic signature

The platform makes it possible to generate, send and sign documents.

The electronic signature comes with a certificate that records the signatory, the date and time, and the fingerprint of the document.

Users give these signed documents the same value as a handwritten signature, to the extent permitted by the law that applies to them.

Each user keeps a copy of the documents that concern them.

11. Consistency checks

The platform checks certain entries before saving them: for example a leg whose departure and arrival are the same airport, a return dated before the outbound flight, or a negative price.

An inconsistent entry is stopped, with a message explaining what to correct.

These checks help users; they do not replace their own verification and do not engage BLACK JET BROKERS.

12. The Community

The Community is reserved for member BLACK JET BROKERS whose account is verified.

Membership is requested by the agency's management and decided by BLACK JET BROKERS.

A member may ask to leave the Community; the agency's management makes the request and BLACK JET BROKERS approves it.

Every member undertakes to:

• express themselves with respect and courtesy towards everyone;
• post accurate and verifiable information;
• post no insults, threats, discriminatory remarks or sexual content;
• not disclose the name of a client or the personal data of a passenger;
• keep private exchanges, and information shared by other members, to themselves.

An alert (#operatoralert, #brokeralert, #clientalert, #airportalert, #aircraftalert) reports precise, dated and verifiable facts, without judging people.

The author of an alert is solely responsible for it.

The person named in an alert is notified and may respond.

BLACK JET BROKERS moderates the Community: it may flag a post, remove it, remove a comment, suspend or ban a member from posting, or end their membership, giving a reason.

13. Confidentiality between users

Information received from another user through the platform is confidential.

This applies in particular to requests, quotes, purchase prices, margins, contracts, manifests, messages and Community exchanges.

The recipient uses it only for the relationship for which it was entrusted.

The recipient discloses it only to persons who need to know it to perform that relationship, and who are bound by the same confidentiality.

These obligations do not apply to information already public, or whose disclosure is required by law or by an authority.

They last for as long as the platform is used and for five years afterwards.

The platform applies a discretion rule between the parties to a flight: the client does not see the operator or the exchanges between the broker and the operator; the operator does not see the identity of the client, except when the operator is itself the client's broker.

14. Content and intellectual property

The platform, the BLACK JET BROKERS brand, its tagline, texts, visuals, templates and code belong to BLACK JET BROKERS.

Any reproduction or use without written permission is prohibited.

Users remain the owners of their content.

They authorise BLACK JET BROKERS to host, reproduce and display it to the extent needed to operate the platform.

A broker's public profile (name, agency, country, city, presentation) may be shown on the website and in BLACK JET BROKERS materials to promote the network.

Users warrant that they hold the rights to the content they upload, in particular the photos and logos used in the Studio.

15. Subscriptions

Access to certain spaces or services may require a subscription.

Its terms (plan, price, duration, payment methods) are presented before any subscription and accepted separately.

No subscription is charged without this agreement.

16. Powers of BLACK JET BROKERS

To ensure the security, quality and compliance of the platform, BLACK JET BROKERS may:

• verify, approve, suspend or refuse an account;
• enable or disable a feature, for everyone or for one account;
• block an account's sign-in or close its sessions;
• access an account for support or review;
• remove or reassign content, a file or an item on the platform;
• keep a record of the actions taken on the platform.

Each measure is taken with a reason, and the user concerned is informed, unless the law or security prevents it.

17. Availability

BLACK JET BROKERS endeavours to keep the platform available at all times.

It may be interrupted for maintenance, updates or in the event of an incident.

The platform's features evolve; BLACK JET BROKERS may add, change or withdraw them.

18. Liability

BLACK JET BROKERS is responsible for providing the platform's tools with the care expected of a professional.

BLACK JET BROKERS is not responsible for:

• the performance of flights, shipments or medical missions;
• prices, payments, refunds or cancellations agreed between users;
• the accuracy of information published by users;
• content posted in the Community by its members;
• any indirect loss, loss of revenue or loss of opportunity.

Each user is responsible for the consequences of their content and of any breach of the Terms.

Nothing in the Terms excludes any liability that the law does not allow to be excluded.

19. Suspension and closure of an account

Users may ask for their account to be closed at any time.

In the event of a breach of the Terms, BLACK JET BROKERS may suspend or close an account, after asking the user to explain, except in an emergency or for a serious breach.

Closure does not cancel commitments already made between users, nor documents that must be kept.

20. Personal data

BLACK JET BROKERS processes users' personal data in accordance with its privacy policy.

For data that a broker or an operator records about its own clients, contacts and passengers, it acts as controller and BLACK JET BROKERS as processor, as set out in the appendix below.

21. Changes to the Terms

BLACK JET BROKERS may change the Terms.

Users are informed before a significant change takes effect.

Continuing to use the platform after that date means acceptance of the new version.

22. Governing law and disputes

In the event of a disagreement, the parties first seek an amicable solution by writing to BLACK JET BROKERS.

Failing agreement within thirty days, the dispute is brought before the competent courts, subject to the mandatory rules protecting consumers in their country.

Disputes between users (client, broker, operator) are settled between them, under their own contracts.

23. Language and contact

The Terms are written in French and in English; both versions have the same value.

Appendix - Data processed on behalf of brokers and operators

A broker or an operator may record on the platform data about its clients, contacts and passengers: accounts, contacts, leads, activities, manifests, documents.

For this data, it is the controller; BLACK JET BROKERS is its processor.

BLACK JET BROKERS undertakes to:

• process this data only to provide the platform, on the member's instructions;
• not use it for its own purposes, sell it, or disclose it to another member;
• ensure that the persons authorised to access it respect its confidentiality;
• keep it secure through appropriate technical and organisational measures;
• inform the member without delay of any data breach affecting it;
• help the member respond to requests from the persons concerned;
• delete it or return it to the member when the account ends, unless the law requires it to be kept.

The member warrants that it is entitled to collect this data and to inform the persons concerned.

It passes on a patient's health data only when needed for the medical flight.
